Wholesale & Custom Production Terms

Throughout this Agreement, “Licinia”, “we”, “us”, and “our” refer to Licinia Pty Ltd.
1. APPLICATION & PRIORITY OF TERMS
These Terms apply to all wholesale, bulk, trade, and custom invoiced orders placed directly with Licinia.
These Terms govern all non-website custom production orders and prevail over the Website Terms of Service to the extent of any inconsistency.
The Website Terms of Service apply only to purchases completed directly through the www.licinia.com.au online checkout.
In the event of inconsistency, the following order of priority applies:
- These Wholesale & Custom Production Terms
- Website Terms of Service (online store purchases only)
- Any other policies, quotations, communications, or correspondence
2. SERVICES
Licinia provides custom apparel decoration and production services including:
- Embroidery
- Digital printing (including Supacolour, Supaflex, Supasub, UltraColour)
- Heat transfer vinyl
- Patch and specialty finishing applications
- Apparel sourcing and production coordination
All services are made to order based on Client specifications.
3. ARTWORK REQUIREMENTS
Clients must supply print-ready artwork.
Preferred formats:
- EPS (vector files – preferred)
- Adobe Illustrator files
- PSD files (minimum 300 DPI images, 600 DPI text)
- High-resolution PDF with embedded fonts/images
If artwork is not suitable, Licinia Pty Ltd may:
- Request revised files
- Assist with adjustments at its discretion (additional fees may apply)
Clients remain responsible for final artwork accuracy.
4. ORDERS, APPROVAL & PAYMENT
4.1 Order Approval
An order is deemed fully approved when:
- Written confirmation (including email approval) is received
- Full or partial payment is made
This constitutes authority for production to commence.
4.2 Payment Terms
- 100% upfront payment is required unless otherwise agreed in writing
- Quotes are valid for 30 days
- Orders not paid within 30 days may be cancelled
Deposits may apply for:
- Sampling
- Artwork setup or preparation
- Special sourcing or custom requirements
5. PRODUCTION VARIATIONS
Clients acknowledge and accept industry-standard tolerances:
- Garment sizing variance: ±2.5cm
- Print placement variance: ±2cm
- Colour variation: up to 5%
These are not considered defects.
Final results may vary due to fabric type, garment batch, and production method.
6. CANCELLATIONS & CHANGES
Once an order is approved and/or enters production:
- Orders cannot be cancelled or changed
- Refunds are not provided for change of mind
- Errors in approved artwork remain the Client’s responsibility
7. RETURNS & FAULTS
Returns are only accepted where:
- A manufacturing or production error has occurred directly attributable to Licinia
Returns are not accepted for:
- Change of mind
- Approved artwork errors
- Incorrect Client information
- Industry-standard tolerances
- Garment wear, shrinkage, fading, or washing effects
- Courier delays or issues
Where a fault is confirmed, Licinia may, at its discretion:
- Reprint
- Replace
- Refund
Return shipping may be the Client’s responsibility unless otherwise agreed.
8. THIRD-PARTY GARMENTS
We do not manufacture garments. All garments are sourced from third-party suppliers and customised through printing, embroidery, or other decoration methods.
Accordingly, it is not responsible for:
- Fabric defects
- Shrinkage
- Colour fading
- Stitching or construction faults
- Material failure
- Pilling, fabric wear, or loss of elasticity
Where possible, we may assist Clients in communicating with the original manufacturer or supplier regarding garment-related issues. However, we do not guarantee any outcome, replacement, credit, or approval from the manufacturer or supplier. Where no resolution is provided by the manufacturer or supplier, responsibility for pursuing the matter rests with the Client.
These issues must ultimately be addressed with the original manufacturer or supplier where applicable.
9. CLIENT-SUPPLIED GARMENTS (BYO ITEMS)
All Client-supplied garments are printed at the Client’s risk.
Licinia accepts no responsibility for:
- Heat damage
- Fabric incompatibility
- Print failure due to garment quality
- Replacement of supplied goods
Clients must ensure garments are suitable for commercial decoration processes.
10. CARE INSTRUCTIONS
Clients must follow care guidelines:
- Cold wash only (inside out recommended)
- No bleach or fabric softeners
- Air dry only
- Do not iron directly on print
Failure to follow care instructions may void durability expectations.
11. DELIVERY & SHIPPING
- Standard production timeframe is typically 5–15 business days from final artwork approval and/or receipt of required payment, unless otherwise agreed in writing.
- Shipping delays caused by third parties are outside our control
- Risk in transit passes to the Client upon delivery to the carrier to the extent permitted by law
Licinia is not liable for delays caused by third-party carriers or external logistics providers, to the extent permitted by law.
Nothing in this clause limits your rights under the Australian Consumer Law.
11.1 Processing & Lead Times
Production and dispatch timeframes are estimates only and commence from the date of final artwork approval and/or receipt of required deposit, unless otherwise agreed in writing.
Delays may occur due to supplier availability, manufacturing schedules, or carrier disruptions. We will take reasonable steps to notify clients of material delays where practicable.
11.2 Shipping & Delivery
Shipping is arranged via:
- Customer-approved courier accounts, or
- Licinia-selected carriers, or
- As specified in the invoice or quotation
Delivery dates are estimates only and not guaranteed.
Once goods are handed to the nominated carrier, risk in transit transfers to the Client to the extent permitted by law.
We are not liable for delays, loss, or damage caused by third-party carriers, customs authorities, or events outside our reasonable control.
Nothing in this clause excludes or limits rights under the Australian Consumer Law.
11.3 Freight Costs
Freight costs are:
- Included in quotations, or
- Charged at carrier cost at time of dispatch
Additional freight charges caused by incorrect address details, failed delivery attempts, or redirection requests are the responsibility of the client.
12. LIABILITY
To the maximum extent permitted by Australian law:
Licinia is not liable for:
- Indirect, incidental, or consequential loss
- Loss of profit, revenue, or business opportunity
- Errors in approved artwork
- Third-party manufacturing defects
- Courier or shipping failures
- Misuse or improper care of products
Where liability cannot be excluded, it is limited to:
- Replacement or re-supply of the relevant product or service (at our discretion)
Nothing in these Terms excludes rights that cannot be excluded under Australian Consumer Law.
13. INDEMNITY
Clients agree to indemnify Licinia against all claims, losses, damages, or expenses arising from:
- Use of supplied artwork
- Breach of these Terms
- Intellectual property infringement
- Misuse of products
14. INTELLECTUAL PROPERTY
Clients warrant that all supplied artwork:
- Is owned or properly licensed
- Does not infringe third-party rights
- Complies with all applicable laws
Licinia retains ownership of production processes and methodologies.
Portfolio & Promotional Use
Unless otherwise agreed in writing, ownership of final approved deliverables transfers to the Client upon full payment of all invoices relating to the project.
Licinia retains ownership of:
- preliminary concepts,
- draft artwork,
- production files,
- internal templates,
- manufacturing methods,
- processes, and
- pre-existing intellectual property.
Licinia may display non-confidential aspects of completed work for portfolio, marketing, promotional, and social media purposes.
This may include:
- completed designs, mock-ups, or production samples;
- photographs of completed products;
- the Client’s business name, logo, or branding as incorporated into the completed work.
We will not disclose confidential, commercially sensitive, or private information without consent.
Clients may request in writing that their project, branding, or products not be used for portfolio or promotional purposes. Where reasonably practicable, we will comply with such requests, particularly where notice is provided before publication.
Nothing in this Agreement excludes, restricts, or modifies any rights or remedies the Client may have under the Australian Consumer Law.
15. TERMINATION
We may refuse, suspend, or cancel services where:
- Terms are breached
- Payment is not received
- Content is illegal, offensive, or inappropriate
16. GENERAL
- These Terms are governed by Australian law
- Licinia may update Terms at any time
- Invalid clauses do not affect remaining Terms
- Continued engagement constitutes acceptance of updates
17. ACCEPTANCE
By placing an order or making payment, the Client confirms:
- Acceptance of these Terms
- Authority for production to commence
- No signature is required for validity
